Carrier Registration Terms and Conditions

Section 1: Mandatory Submission of Tax and Business Documents

To ensure compliance with federal and state regulations and facilitate a seamless billing and payment process, carriers are required to provide the following essential documents as part of the registration process with LogisX:

a. IRS Form W-9: Taxpayer Identification and Certification
b. Business Certifications and Documentation
c. Proof of Insurance: Commercial General Liability, Auto Liability, and Cargo Coverage
d. Driver’s License: Valid licenses for all drivers operating under the carrier
e. Unified Carrier Registration (UCR): Proof of UCR registration
f. Motor Carrier Authority: Documentation of authority to operate
g. Annual Truck Inspection: Proof of annual inspection for all vehicles in the fleet
h. Vehicle Registration: Proof of registration for all vehicles in the fleet

By attaching these documents, carriers affirm that all information provided is accurate, truthful, and reflective of their current business operations. The submission of incomplete or inaccurate documentation may result in registration delays or denial.

Section 2: Acceptance of Fees and Payment Terms

  1. Financial Agreement: Upon registration, carriers acknowledge the potential for future fees and agree to adhere to the financial obligations as outlined below. These terms are integral to the contractual relationship between LogisX and the carrier and reflect our commitment to transparent and fair billing practices.

  2. Future Subscription Fees: While the platform is currently free of charge, carriers agree that LogisX reserves the right to implement a monthly subscription fee in the future. Carriers will be notified in advance of any fee changes, and continued use of the platform will constitute acceptance of these fees.

  3. Payment Processing: Payments for services rendered will be billed directly to the shipper from the carrier or by their usual means of compensation. LogisX will ensure all shippers on our platform are creditworthy.

  4. Quick Pay Option: At LogisX’s discretion, carriers may be offered a quick pay option by invitation only. This option can be terminated at any time by either party without cause.

Section 3: Non-Circumvention Clause

Carriers agree not to engage directly with shippers introduced through the LogisX platform without involving LogisX. Any attempt to circumvent LogisX will result in immediate termination of the carrier’s account and possible legal action to recover damages and lost revenue.

Section 4: Insurance Requirements

Carriers must maintain the required insurance coverages as stipulated by industry standards:

a. Commercial General Liability: Not less than $1,000,000 per occurrence and $2,000,000 in the aggregate.
b. Auto Liability: Not less than $1,000,000 per occurrence, including trailer replacement coverage of $50,000 (if carrier provides Power only services)
c. Cargo Coverage: At least $100,000.

Failure to maintain these coverages may result in the termination of the carrier’s registration with LogisX.

Section 5: Limitation of Liability

LogisX operates as a neutral facilitator providing a digital logistics exchange platform that connects shippers with independent third-party carriers. LogisX expressly disclaims all liability for any theft, loss, damage, or destruction of cargo that may occur during transport by carriers sourced through the LogisX platform. Carriers agree to indemnify and hold LogisX harmless from any claims, demands, losses, liabilities, damages, or expenses arising out of or in connection with any transaction or interaction facilitated through the LogisX platform.

Section 6: Termination

This agreement may be terminated at any time by either party without cause. Upon termination, carriers must fulfill any outstanding financial obligations for services rendered prior to the termination date.

Section 7: Confidentiality and Data Protection

Carriers agree to keep all information obtained through the LogisX platform confidential and to comply with all applicable data protection laws. LogisX will also maintain the confidentiality of carrier data in accordance with its privacy policy.

Section 8: Compliance with Laws

Carriers agree to comply with all applicable local, state, federal, and international laws, statutes, ordinances, and regulations applicable to their use of the LogisX platform and any transactions conducted on it.

Section 9: Dispute Resolution

In the event of a dispute, the parties shall first seek to resolve the matter amicably through good faith negotiations. If the dispute cannot be resolved informally, the parties agree to engage in mediation or arbitration proceedings prior to pursuing any other available legal remedies.

Section 10: Force Majeure

Neither party is liable for failure to perform obligations due to events beyond their control, including natural disasters, acts of God, war, terrorism, civil disorder, industrial disputes, fire, floods, severe weather conditions, pandemics, or any actions taken by a government or public authority.

Section 11: Non-Exclusive Agreement

This agreement is non-exclusive, and both parties are free to enter into similar agreements with other parties.

Section 12: Indemnification

Carriers agree to indemnify, defend, and hold harmless LogisX and its directors, officers, employees, agents, and successors from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees, arising from or relating to the carrier’s use of the LogisX platform, the carrier’s breach of this agreement, or the carrier’s violation of any law or the rights of a third party.

Section 13: Intellectual Property

All intellectual property rights in the LogisX Carrier app, including software, text, graphics, logos, and trademarks, are owned by LogisX or its licensors. Carriers are granted a limited, non-exclusive, non-transferable license to use the app solely for the purposes outlined in this agreement. Unauthorized use or reproduction of any intellectual property is strictly prohibited.

Section 14: Governing Law

This agreement and any disputes arising out of it shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Section 15: Amendments

Any amendments to this agreement must be in writing and signed by both parties.

Section 16: Severability

If any part of this agreement is found unenforceable, the remainder will continue in effect.

Section 17: Electronic Signatures

The parties agree that electronic signatures on this application are considered legally binding and enforceable as a signed writing under applicable laws, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

Section 18: Notices Procedures

All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and addressed to the parties at the addresses provided at the time of registration or to such other address that may be designated by the receiving party in writing. All notices shall be delivered by personal delivery, nationally recognized overnight courier, or certified or registered mail (in each case, return receipt requested, postage prepaid), or email (with confirmation of transmission).

Section 19: Terms of Use for LogisX Carrier App

By using the LogisX Carrier app, carriers agree to the terms of use outlined herein. The app is provided "as is" without any warranties of any kind, either express or implied. LogisX does not warrant that the app will be uninterrupted or error-free. Carriers are responsible for ensuring their use of the app complies with all applicable laws and regulations.

Section 20: Acknowledgment and Agreement

By registering and using the LogisX platform and the LogisX Carrier app, carriers agree to these terms and conditions. Carriers confirm their understanding and acceptance of these terms by checking the acknowledgment box during the registration process.
